These terms govern your use of the Kettle & Cog website and prototyping services. Please read them carefully before engaging with us.

1. Definitions

In these Terms & Conditions, the following terms carry the meanings set out below:

  • "Agreement" means these Terms & Conditions, together with any service proposal or booking confirmation accepted by both parties.
  • "Content" means any materials, prototypes, documents, ideas, or deliverables created, shared, or produced in connection with a session.
  • "Service" means any prototyping session, package, or programme offered by Kettle & Cog, as described on our website.
  • "User" / "You" means any individual or organisation that accesses this website or books a Service.
  • "We / Us / Our" means Kettle & Cog, operating from Unit 3-7, Common Ground, Jalan Kerinchi, Bangsar South, 59200 Kuala Lumpur, Malaysia.

2. Acceptance of Terms

By accessing this website or booking any Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use this website or book a Service.

  • You must be at least 18 years of age to enter into this Agreement.
  • If you are booking on behalf of a company or organisation, you confirm that you have the authority to bind that entity to these Terms.
  • Acceptance is formed at the point of booking confirmation or payment, whichever occurs first.

3. Service Description

Kettle & Cog offers prototyping facilitation services for founders and startup teams. Our current offerings are:

  • Idea Prototype Session (RM 590): A half-day working session for early founders, producing a prototype sketch and a short summary of next steps.
  • Prototype Build Package (RM 1,720): A full-day engagement producing a clickable no-code prototype, a feedback plan, and a working session review.
  • Validation Sprint Programme (RM 2,860): A multi-round engagement delivering iterative prototype builds, a structured feedback framework, and review sessions to support team ownership of the process.

Services are available to clients in Malaysia and, where logistics permit, to clients in other locations by arrangement. We reserve the right to adjust service availability at any time with reasonable notice.

4. User Responsibilities

Acceptable Use

You agree to use our website and Services in a manner consistent with these Terms and all applicable Malaysian laws and regulations.

Prohibited Activities

You must not:

  • Use this website or any Service for any unlawful purpose
  • Submit false or misleading information during any booking or session
  • Attempt to disrupt or interfere with the website's security or functionality
  • Reproduce, distribute, or republish any proprietary materials without our written consent
  • Use session time or outputs for purposes materially different from those agreed at booking

Session Participation

You are responsible for arriving prepared for your session, including any briefing materials or context notes agreed upon in advance. Missed sessions or late arrivals that reduce session time will not automatically entitle you to a make-up session unless agreed separately in writing.

5. Intellectual Property

Our Materials

All website content, branding, methodologies, templates, and facilitation materials are the intellectual property of Kettle & Cog. You are granted a limited, non-exclusive, non-transferable licence to view and use website content for personal, non-commercial purposes only.

Session Outputs

Prototype sketches, clickable demos, feedback frameworks, and written summaries produced during your session are intended for your use in developing your own product or business idea. Ownership of session outputs transfers to you upon full payment of the applicable service fee. We retain the right to reference anonymised project descriptions for portfolio or illustrative purposes, unless you request otherwise in writing before your session.

Your Ideas

You retain full ownership of the business ideas, concepts, and intellectual property you bring to a session. We do not claim any interest in your underlying idea.

6. Payment Terms

  • All prices are stated in Malaysian Ringgit (MYR) and are inclusive of applicable taxes unless otherwise noted.
  • Payment is required prior to or on the date of your session, as confirmed in your booking. We accept bank transfer and other methods as communicated at booking.
  • Cancellations made more than 5 business days before a session: full refund of any amount paid.
  • Cancellations made 2–5 business days before a session: 50% refund.
  • Cancellations made fewer than 2 business days before a session: no refund, but we will make reasonable effort to reschedule at no extra charge.
  • Rescheduling requests made at least 3 business days in advance will be accommodated subject to availability.

7. Service-Specific Terms

Scope

Each Service has a defined scope as described on our website and in any booking confirmation. Changes to scope requested after a session has begun will be discussed and, where feasible, accommodated within the same session. Substantial scope changes may require a separate booking.

Delivery

Session outputs — such as prototype files, summary documents, or feedback plans — will be delivered to you electronically within 3 business days of the session date, unless a different timeline is agreed in writing.

Confidentiality

We treat all session content, including your ideas, business details, and prototype materials, as confidential. We will not share this information with third parties without your written consent, except as required by Malaysian law.

8. Disclaimers

Our Services are provided on an "as available" basis. While we work hard to support founders effectively, we make no representations about any specific business outcome resulting from a session. Prototyping is a design and learning activity; the commercial viability of your idea depends on many factors beyond our engagement.

This website may contain links to third-party tools or resources. We are not responsible for the content, availability, or practices of those external sites.

9. Limitation of Liability

To the fullest extent permitted by Malaysian law, Kettle & Cog's total liability to you arising from or in connection with a Service shall not exceed the amount you paid for that specific Service.

We are not liable for any indirect, consequential, or incidental loss, including loss of revenue, loss of data, or loss of business opportunity, arising from your use of our website or Services — even if we have been advised of the possibility of such losses.

We are not liable for delays or failures caused by circumstances outside our reasonable control, including but not limited to natural events, infrastructure failures, or public health situations.

10. Indemnification

You agree to indemnify and hold Kettle & Cog, its facilitators, and representatives harmless from any claims, costs, or liabilities arising from your breach of these Terms, your misuse of our Services, or your infringement of any third-party rights in connection with materials you bring to a session.

11. Termination

Either party may terminate a service engagement by giving written notice before a session is delivered. Our refund policy (Section 6) applies in such cases.

We reserve the right to decline or terminate an engagement if we reasonably believe a client is acting in bad faith, misrepresenting their intentions, or engaging in conduct inconsistent with these Terms. In such cases, we will offer a pro-rated refund for services not yet delivered.

Provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive any termination of this Agreement.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with these Terms shall first be referred to an informal resolution process between the parties.

If informal resolution is not achieved within 30 days of written notice, either party may refer the matter to mediation under the rules of the Malaysian Mediation Centre before pursuing other remedies. The courts of Malaysia shall have exclusive jurisdiction over any dispute that proceeds to litigation.

13. General Provisions

  • Entire Agreement: These Terms, together with any booking confirmation, constitute the full agreement between you and Kettle & Cog for the relevant Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision of these Terms on one occasion does not constitute a waiver of that provision in the future.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
  • Notices: Written notices may be sent by email to [email protected]. Notices are deemed received on the next business day after sending.

14. Changes to Terms

We may update these Terms from time to time to reflect changes in our services or applicable law. When we do, we will update the "Last Updated" date at the top of this page. We encourage you to review this page periodically. Continued use of our website or Services after a change constitutes acceptance of the revised Terms.
